Mark Chalmers is counsel at Davis Polk in London. He focuses on UK financial services regulation, including advising on the rules of the FCA and PRA, regulatory perimeter and financial promotion issues, the recast Markets in Financial Instruments Regulation, the Alternative Investment Fund Managers Directive, the Market Abuse Regulation, and the European Market Infrastructure Regulation, as well as anti-money laundering and sanctions compliance. His clients include international banks, fund managers, payment services and fintech companies and other financial institutions.

Mark also advises clients in connection with corporate transactions, including due diligence and obtaining UK financial regulatory approvals in relation to acquisitions. His recent transactional experience in the financial institutions sector includes advising on the IPO and London listings of Financials Acquisition Corp and New Energy One Acquisition Corporation, Viva Wallet’s strategic investment by J.P. Morgan, SS&C Technologies’ acquisition of Hubwise, Ding’s sale of a majority stake to Pollen Street Capital and Lightyear Capital’s acquisition of Wren Sterling.
